Legal Agreement

Terms & Conditions

Last Updated: October 2024 • Version 2.4

Please read these Terms & Conditions carefully before engaging with The Edit Studio Services. By accessing our platform, commissioning design works, acquiring digital assets or NFTs, or browsing our portfolio, you agree to be bound by these provisions.

1. Introduction & Acceptance

These Terms and Conditions constitute a legally binding agreement between you ("Client", "User", or "Collector") and The Edit Studio Services ("Agency", "we", "us", or "our"). By viewing, commissioning, or interacting with any services, digital platforms, or art offerings hosted on or via this domain, you express your full and unreserved agreement to these terms.

2. Business Identity & Operations

The Edit Studio Services operates as a specialized digital creative design agency focused on brand curation, bespoke digital design, interactive experiences, fine art digitizations, and non-fungible token (NFT) creation and strategy.

3. Scope of Services & Engagements

All creative deliverables, client briefs, milestones, and timelines are executed pursuant to individual Statements of Work (SOW) or signed client proposals. In the event of any conflict between an individual SOW and these global Terms, the specific SOW shall prevail for that engagement.

4. Acceptable Website Use

You agree to use this website only for lawful purposes. You shall not engage in unauthorized scraping, reverse-engineering, penetration testing, denial-of-service attempts, or harvesting of intellectual property and digital assets published within our portfolio.

5. Intellectual Property Rights

All studio branding, proprietary methodologies, interface designs, codebase, custom typography, source files, and visual trademarks displayed on this site remain the exclusive intellectual property of The Edit Studio Services and its licensors.

6. Client Artwork & Deliverables Ownership

Ownership of bespoke creative deliverables transfers to the Client only upon receipt of full and final payment. Preliminary sketches, unused design concepts, and foundational toolkits remain property of the studio unless explicitly assigned in writing.

7. Artist Submissions & Collaborator Portfolios

Artists collaborating with or submitting portfolios to The Edit Studio Services warrant that all presented material is original, does not infringe third-party rights, and grants the Agency a non-exclusive license for promotional and archival display.

8. Pricing, Retainers & Invoicing

All service fees are quoted in USD or designated fiat/cryptocurrency equivalents as specified in client agreements. Standard projects require an initial deposit prior to kickoff. Invoices are payable net 14 days unless negotiated otherwise.

9. Non-Fungible Tokens (NFTs) & Digital Assets

Acquiring an NFT minted or designed by The Edit Studio Services grants the holder cryptographic proof of ownership of the token metadata. Unless explicitly stated in smart contracts, NFT ownership does not automatically convey underlying commercial copyright or trademark rights.

10. Inherent Blockchain & NFT Risks

Users and Collectors acknowledge the risks inherent in blockchain networks, including volatility, irreversible transactions, smart contract vulnerabilities, gas fee fluctuations, wallet loss, and evolving regulatory environments. We provide no guarantees of valuation.

11. Smart Contracts & Secondary Royalties

Secondary sales of NFTs created by the studio may be subject to programmable creator royalties enforced on-chain or through supported marketplaces. Attempting to bypass or exploit smart contract royalty mechanisms is strictly prohibited.

12. Client Revisions & Approval Process

Design iterations are subject to the revision rounds set forth in the project agreement. Additional rounds outside the agreed scope will be billed at the standard agency hourly rate or under an amended change order.

13. Project Timelines & Delays

Timely completion of creative projects depends on prompt client feedback and asset provision. Delays exceeding 30 consecutive business days due to client inaction may result in project archiving and reactivation fees.

14. Confidentiality & Non-Disclosure

Both parties agree to treat proprietary information, business data, and unreleased product roadmaps as confidential, exercising reasonable care to prevent unauthorized disclosure to third parties.

15. Promotional Rights & Portfolio Credit

The Edit Studio Services reserves the right to showcase completed works, case studies, and brand artifacts in our agency portfolio, awards submissions, and digital channels, unless an exclusive NDA prohibits publication.

16. Third-Party Integrations & Tools

Our digital platforms and deliverables may incorporate third-party hosting, APIs, fonts, or software plugins. We are not liable for service interruptions, changes of terms, or security incidents originating from external service providers.

17. Warranties & Professional Disclaimers

All services and web experiences are delivered "as is" without warranties of any kind, whether express or implied. We do not warrant that our digital assets or website will be uninterrupted, error-free, or immune to cyber-threats.

18. Limitation of Liability

To the maximum extent permitted by applicable law, The Edit Studio Services shall not be liable for any indirect, incidental, punitive, or consequential damages, lost profits, or digital asset depreciation arising out of service use.

19. Indemnification

You agree to indemnify, defend, and hold harmless The Edit Studio Services, its directors, employees, and partners from any claims, liabilities, or expenses resulting from your breach of these Terms or unauthorized use of deliverables.

20. Termination & Cancellation

Either party may terminate an ongoing creative contract for material breach if uncured within 14 days of written notice. Upon termination, the client shall compensate the studio for all work executed up to the termination date.

21. Force Majeure

Neither party shall be held liable for failure or delay in performing obligations when such failure arises from acts of God, global network outages, armed conflict, civil unrest, or catastrophic technical emergencies beyond reasonable control.

22. Severability & Entire Agreement

If any clause of these Terms is deemed invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force. These Terms constitute the entire understanding between the parties regarding website and service use.

23. Governing Law & Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles. Any legal action shall be resolved exclusively through binding arbitration.

24. Contact & Legal Inquiries
